NOTICE OF ANNUAL GENERAL MEETING
NOTICE IS HEREBY GIVEN THAT THE SIXTY FOURTH ANNUAL GENERAL MEETING OF THE EASTERN SUBURBS DISTRICT RUGBY UNION FOOTBALL CLUB LIMITED (ABN: 80 000 277 538) WILL BE HELD IN THE CLUB HOUSE, O’SULLIVAN ROAD, BELLEVUE HILL, ON TUESDAY, 13 DECEMBER 2022 AT 6.30PM
AGENDA
1. Receive the President’s report.
2. Receive the Treasurer’s report.
3. To receive and consider the directors’ report, financial report and auditor’s report for the year ended 30 September 2022.
4. Appointment of Auditor for the ensuing year.
5. Election of Office Bearers for the ensuing year.
6. Nomination of Honorary Life Member.
The Directors, having received the nomination of Robert McCormick for Honorary Life Membership in accordance with Article 7 of the Club’s constitution, propose that the members consider and vote on the recommendation of the Board to the members, that Robert McCormick be elected as an Honorary Life Member of the Club.
7. Nomination of Honorary Life Member.
The Directors, having received the nomination of Paul Ryan for Honorary Life Membership in accordance with Article 7 of the Club’s constitution, propose that the members consider and vote on the recommendation of the Board to the members, that Paul Ryan be elected as an Honorary Life Member of the Club.

MEMBERS’ QUESTIONS
Members’ who are unable to attend the AGM or who may prefer to register questions in advance are invited to do so. To allow time to collate questions and prepare answers, please submit any questions by 10:30am (Sydney time) Monday, 12 December 2022 by emailing reception@woodgateco.com.au. Please note that individual responses will not be sent to members.
NOMINATIONS
Attention is drawn to the following articles of the Club’s constitution:
Director Nominations – Article 20(a), which states:
20 (a) Nominations for election as Directors shall be made in writing to the Treasurer at least eight days prior to the date of the Annual General Meeting and shall be signed by two members of the Club who are eligible to vote and by the nominee.
Nomination forms are available from the Club.
Honorary Life membership nominations – Article 7, which states:
7 (a) any member of the club who has rendered distinguished services to Rugby Union Football and to the Club may be elected at any annual general meeting as an honorary life member provided that such election is made with the consent of three-fourths of the voters present and voting.
7 (b) the following conditions shall be observed in the election of an honorary life member of the Club:-
(i) Notice of nomination signed by at least two members of the Club and also by the nominee consenting thereto shall be given to the secretary.
(ii) Such nomination shall be reported to the first Board meeting after receipt thereof and at the ensuing meeting the Board shall have resolved with the consent of three fourths of the voters present and voting to forward such nomination to the next annual general meeting for consideration.
(iii) All voting if demanded by one member shall be by ballot.
